With corporate or project finance you're usually getting the arrangement fee (payable upfront) and commitment fees (for undrawn amounts) and we're getting both. The problem I have with this is answering the question what am I being remunerated for if that fee is payable on maturity? Just an additional return on top of the interest. Not quite a feature of the standard loan so including it in the EIR could be questionable I think?

I've just realised I have a bigger problem with this facility. Every six months where monthly drawdowns are consolidated into tranche which is fixed for 20 years the gilts benchmark used is 20 years one. So all future 6 monthly tranches are effectively re-priced every six months to 20 year benchmark...

In our system we have only one facility, one EIR and one amortised cost for these deals. Each subsequent drawdown is treated as a cashflow within a period (similar to coupon payment) and adjusts the closing balance. Correct, but as soon as the loan starts being drawn the commitment fees are included in EIR. The question is what EIR if each drawdown would have its own amortised cost.

Hmm, interesting view. How would commitment fees on total facility amount however be captured in EIR in such a case? They ‘beling’ to multiple undrawn tranches.

Ultimately, I will not need to worry about fair value changes as far as I can see. Given recent share price performance we'll apparently going to end up with +20% stake indicating the 'equity method'.

Yeap, I could use this reasoning I think. We wouldn't never convert into ordinary shares just for the sake of getting dividends or being shareholders. We would only do it once there's a sizeable upside available, meaning sale to 3rd party, IPO, etc.

I worked for Maersk in NL and BE. We used Hyperion group wise. Countries were reporting in Hyperion and sending their numbers to regions which consolidated in Hyperion and sent the numbers for final global consolidation at Centre in Copenhagen, again done in Hyperion.
