Re: Debt pricing re-set
Correct, but as soon as the loan starts being drawn the commitment fees are included in EIR. The question is what EIR if each drawdown would have its own amortised cost.

Re: Debt pricing re-set
Hmm, interesting view. How would commitment fees on total facility amount however be captured in EIR in such a case? They ‘beling’ to multiple undrawn tranches.

Re: Debt pricing re-set
Thanks Marek. Let me have another question as I've never been quite sure how you would correctly handle this. Corporate and project finance loans usually have an availability period allowing the borrower to draw the loan amount in tranches. Let's say £100m loan is drawable over 1year with indicative...

IFRS 12 disclosures
Hi Everyone,
It's a first year end for me to disclose interest in associates. Would anybody be able to recommend some company's annual report with good associate disclosures?
Thank you

Debt pricing re-set
Hi Everyone, We're about to provide lending to a really big project. Our loans will be drawn on monthly basis priced at 1 months Gilts + industry credit index value for each monthly drawdown. After 6 months the drawdowns will be 'consolidated' into a tranche repriced to 1 month Gilts + industry cred...

Re: Direct equity investment - transaction price & fair value
Just theoretically, if it wasn't the ''active market' what would be the implications? How would the fair value of such shares be established?

Re: Direct equity investment - transaction price & fair value
Ultimately, I will not need to worry about fair value changes as far as I can see. Given recent share price performance we'll apparently going to end up with +20% stake indicating the 'equity method'.

Direct equity investment - transaction price & fair value
Hi Everyone, I have the first direct equity investment to be made. The Company is listed and is seeking the additional equity funding issuing ordinary shares. As per the terms we will subscribe for ordinary shares at a price per share being a 5% discount to the 15 day volume weighted average price o...

Re: Arrangement Fees on Financial Guarantee Contract
The arrangement fee won't be reported as a guarantee liability. I will be receiving the regular 6 monthly guarantee fees which present value I will recognise as a guarantee liability in line with IFRS 9.4.2.1 (c). Arrangement fee is a different kind of fee. I've received it upfront and it's not refu...

Arrangement Fees on Financial Guarantee Contract
Hi Everyone, We've just signed a FCG contract where the underlying debt is drawn in tranches over 9 months and then repaid in bullet after 7 years. Our cover follows this, so it grows to the total debt drawn over 9 months period and then stands flat until maturity (assuming no claims of course). The...

No, definitely not. One is an investment in a commodity miner and the price of that mineral is highly volatile.

Re: Equity investments held at cost?
I meant the existing disclosures for Level 3 investments. Anyway... I didn't specify in my original message that our equity-like investments are convertible preference shares and convertible loan notes. Cost exceptions in IFRS 9.B5.2.3-B5.2.6 seem to relate more to investments in unquoted equity. I'...

Re: Equity method - convertible preference shares
Yeap, I could use this reasoning I think. We wouldn't never convert into ordinary shares just for the sake of getting dividends or being shareholders. We would only do it once there's a sizeable upside available, meaning sale to 3rd party, IPO, etc.

Re: Equity investments held at cost?

Assuming it could be proved cost is the approximation of fair value, w...

Equity investments held at cost?

Re: Equity method - convertible preference shares
Thanks Marek,
What I was thinking is: isn't the fact I can convert into ordinary shares basically any time, say tomorrow, give me 'existing ownership interest' or is equivalent to having 'existing ownership interest'. You're right though, it's a tough judgment to make!

Re: Equity method - convertible preference shares
@Leo, What I'm asking for is the judgement to be applied to the fact pattern, namely if my preference shares should be accounted for under equity method as their can be converted at any time and provide returns aligned with ordinary shares or rather should they be treated as a long term interests ac...

Equity method - convertible preference shares
Hi, We have invested via convertible preference shares with contractual PIK dividends convertible at our discretion at any time. I worked for Maersk in NL and BE. We used Hyperion group wise. Countries were reporting in Hyperion and sending their numbers to regions which consolidated in Hyperion and sent the numbers for final global consolidation at Centre in Copenhagen, again done in Hyperion.

Re: Equity method exemptions
Actually, I'm not sure what financial statements I should prepare. I'm falling under the exemption under IAS 27.10 but my Parent would never 'allow' me to prepare the separate financial statements at cost or in line with IFRS 9 whereas they would need to do all the legwork to equity account for my a...

Re: Equity method exemptions
Thanks Kevin. That is the view I've been closest too as well. Not that it helps me however -)I've been hoping I could apply IFRS 9 fair value for these investments given I'm outsourcing fair value valuations. My parent won't allow me to do fair values once they would need to apply equity method.

Hi Everyone, According to IAS 28:17 An entity need not apply the equity method to its investment in an associate or a joint venture if the entity is a parent that is exempt from preparing consolidated financial statements by the scope exception in paragraph 4(a) of IFRS 10 or if all the following ap...

Re: Instruments to be treated according to the equity method
Equity method doesn’t mean the investment needs to be an equity instrument. Significant influence can be evidenced in equity like or even enhanced debt investments. If you have significant influence you may need to apply equity method no matter what instrument your nvestment is. You may need to but ...

You apply split accounting only for compound or hybrid instruments and prefs from your example are neither. It’s a liability in its entirety.
